Notice to SOHS Members - Proposed SOHS Bylaws Change

The SOHS Board of Trustees proposes to amend Article VI, Section 1 of the SOHS bylaws which specifies one-year terms for SOHS officers. The recommendation of the Board is to amend the bylaws to specify two-year terms for elected SOHS officers and that the terms of the officers are staggered such that there would not be a complete turnover of officers at each election. 

The Board also proposes to amend Article IV, Section 1 of the SOHS bylaws which specifies that the annual meeting of SOHS members take place during May or June of each year. The recommendation of the Board is to amend the bylaws to specify that the annual meeting be held within 90 days after the fiscal year-end in order to allow for the presentation of annual financial statements to SOHS members at the annual meeting. 

In accordance with Article XII: Amendment of Bylaws, Section, the bylaws may be amended by affirmative action of a simple majority of members of the Board with one month's prior notification to SOHS members. This topic will be discussed and voted on by the Board of Trustees at the next SOHS board meeting, to be held on March 3, 2016 at 4:00 pm at the SOHS History Center Conference Room. All SOHS board meetings are open to the public.
